Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “your”) and Innov8ive.AI (“Innov8ive.AI,” “we,” “us,” or “our”), a Texas limited liability company. By accessing or using our website at innov8ive-ai.com (the “Site”) or engaging our services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Services

Innov8ive.AI provides artificial intelligence consulting, implementation, and managed services for enterprise clients (“Services”). The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate Statement of Work (“SOW”) or service agreement executed by both parties. These Terms govern your use of the Site and general interactions with Innov8ive.AI; they do not supersede the terms of any executed SOW or service agreement.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not: (a) use the Site in any way that violates applicable federal, state, local, or international law; (b) attempt to gain unauthorized access to any systems, networks, or data associated with the Site; (c) transmit any viruses, malware, or other harmful code; (d) scrape, crawl, or use automated means to access the Site without our express written consent; or (e) interfere with or disrupt the integrity or performance of the Site.

4. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, software, white papers, research materials, and the overall design and arrangement thereof, is the proprietary property of Innov8ive.AI or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial informational purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written consent.

5. Confidentiality

Any non-public information shared between the parties in connection with a potential or actual engagement shall be treated as confidential and shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law. This obligation survives the termination of any engagement or use of the Site.

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, INNOV8IVE.AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that: (a) the Site will be available at all times or free from errors; (b) any information on the Site is complete, accurate, or current; or (c) the results obtained from the use of the Site or our Services will meet your requirements.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INNOV8IVE.AI, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE AMOUNT PAID BY YOU TO INNOV8IVE.AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Innov8ive.AI and its members, managers, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any third-party rights.

9. Third-Party Content

The Site may contain references to third-party research, statistics, publications, or links to third-party websites. These references are provided for informational purposes only. We do not endorse, control, or assume responsibility for any third-party content, and your interaction with third-party sites is governed by their respective terms and policies.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

12. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Innov8ive.AI with respect to your use of the Site and supersede all prior or contemporaneous communications, whether oral or written, regarding such subject matter. These Terms do not supersede the terms of any executed SOW or service agreement.

13. Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the Site following the posting of changes constitutes acceptance of the modified Terms.
